1. Acceptance of Terms

Welcome to Vaultix Wallet. By accessing or using our website at vaultix.cxs-ar.com (the "Site"), registering for our pre-order waitlist, or using any of our services, you agree to be bound by these Terms of Use ("Terms"). These Terms constitute a legally binding agreement between you and Vaultix Wallet ("Vaultix," "we," "us," or "our").

If you do not agree to these Terms, you must not access or use the Site or our services.

You must be at least 18 years old to use our Site and services. By using our Site, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

These Terms apply to all visitors, users, pre-order registrants, and others who access or use the Site. Your use of the Site is also governed by our Privacy Policy and Cookie Policy, which are incorporated by reference into these Terms.

2. Pre-Order Registration Terms

2.1 Nature of Pre-Order Registration

Pre-order registration is a reservation system only. By providing your email address and country information:

• You are expressing interest in purchasing a Vaultix Wallet when it becomes available
• You are requesting priority notification and early access to purchase opportunities
• You are NOT making a purchase commitment or placing a binding order
• You are NOT entering into a purchase contract or agreement

2.2 Cancellation Rights

You may cancel your pre-order registration at any time by:

• Clicking the unsubscribe link in any email we send you
• Emailing us at preorder@vaultix.cxs-ar.com with your cancellation request
• Contacting us through our website contact form

Since no payment is collected during pre-order registration, there are no refunds to process. Cancellation simply removes you from our waitlist and stops future communications.

2.3 What Pre-Order Registration Includes

Pre-order registrants will receive:

• Priority notification when product is available for purchase
• Exclusive access to early-bird pricing (pricing to be announced)
• Priority shipping from first production batch
• Opportunity to participate in beta testing program (limited slots)
• Product development updates and timeline notifications

2.4 No Obligation to Purchase

Pre-order registration creates no obligation for you to purchase a Vaultix Wallet when it becomes available. You may choose not to purchase at any time without penalty.

3. Intellectual Property Rights

3.1 Ownership

The Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, design, selection and arrangement) are owned by Vaultix, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

3.2 Trademarks

"Vaultix," "Vaultix Wallet," the Vaultix logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Vaultix or its affiliates or licensors. You must not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Site are the trademarks of their respective owners.

3.3 Open-Source Firmware

Vaultix is committed to open-source transparency. When the Vaultix Wallet firmware is released, it will be made available under an appropriate open-source license (to be determined). The license terms for the firmware will be specified in the firmware repository and may differ from these Terms of Use.

3.4 Limited License to Use Site

We grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Site for your personal, non-commercial use. This license does not include any right to:

• Modify or copy the materials except as necessary to use the Site
• Use the materials for any commercial purpose or public display
• Remove any copyright or proprietary notations from the materials
• Transfer the materials to another person or "mirror" the materials on any other server

4. Product Disclaimers

4.1 Specifications Subject to Change

We reserve the right to modify, update, or change product specifications, features, design, pricing, shipping timeline, and any other product details at any time without prior notice. Changes may be made for reasons including but not limited to:

• Manufacturing considerations and component availability
• Security improvements and vulnerability mitigation
• Regulatory compliance requirements
• User feedback and testing results
• Market conditions and business decisions

4.2 Delivery Timeline Estimates

The estimated shipping timeline of Q3-Q4 2026 is an estimate only and not a guarantee. Actual delivery dates may be earlier or later due to factors including manufacturing delays, supply chain issues, regulatory approvals, security testing requirements, or other unforeseen circumstances.

4.3 No Guarantee of Features

Product features described on the Site are planned features and are not guaranteed to be included in the final product. We may add, remove, or modify features based on technical feasibility, security considerations, regulatory requirements, or business decisions.

4.4 Beta Product Disclaimer

Early production units may be considered beta products and may contain bugs, errors, or design flaws. Beta testers acknowledge these risks and agree to provide feedback to help improve the product.

4.5 Visual Representations

Product images and renderings on the Site are for illustrative purposes only. The final product appearance, dimensions, weight, and materials may differ from images shown.

5. Limitation of Liability

5.1 General Limitation

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL VAULTIX, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SITE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SITE, OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

5.2 Exclusion of Damages

The limitation of liability includes, but is not limited to:

• Loss of cryptocurrency or digital assets
• Loss of profits, revenue, or business opportunities
• Loss of data or information
• Personal injury or property damage
• Delays or interruptions in service
• Product defects or failures
• Unauthorized access to user data
• Errors or omissions in content

5.3 Maximum Liability Cap

If, notwithstanding the foregoing exclusions, we are found liable to you for any damage or loss, our total liability shall not exceed the greater of (a) the amount you paid to us, if any, or (b) $100 USD.

5.4 Jurisdictional Variations

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.

5.5 Basis of the Bargain

You acknowledge and agree that we have offered our products and services, set our prices, and entered into these Terms in reliance upon the warranty disclaimers and the limitations of liability set forth herein, that the warranty disclaimers and the limitations of liability set forth herein reflect a reasonable and fair allocation of risk between you and us, and that the warranty disclaimers and the limitations of liability set forth herein form an essential basis of the bargain between you and us.

6. No Warranty for Pre-Launch Product

6.1 "As-Is" Disclaimer

THE SITE AND ALL INFORMATION, CONTENT, MATERIALS, PRODUCTS, AND SERVICES PROVIDED ON THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

6.2 Disclaimer of All Warranties

We disclaim all warranties of any kind, whether express or implied, statutory, or otherwise, including but not limited to:

• Warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy, reliability, or completeness of information
• Uninterrupted or error-free operation
• Security of data transmission
• Freedom from viruses or harmful components

6.3 Pre-Launch Warranty Status

Because the Vaultix Wallet is not yet available for purchase, no product warranty currently exists. When the product is released and available for purchase, warranty terms will be provided at the time of purchase and will supersede this section for purchasers.

6.4 No Guarantee of Fitness

We make no warranty that the Vaultix Wallet, when released, will meet your requirements or expectations, will be suitable for any particular purpose, or will provide any specific level of security or protection for your cryptocurrency or digital assets.

6.5 Third-Party Components

The Vaultix Wallet may incorporate third-party hardware components or software. We make no warranties regarding the performance, security, or reliability of such third-party components.

6.6 User Responsibility

You are solely responsible for determining whether the Vaultix Wallet, when available, is appropriate for your use case. You acknowledge that cryptocurrency security is complex and that no hardware wallet provides absolute security.

7. Shipping Terms and Conditions

7.1 Estimated Shipping Timeline

We currently estimate that Vaultix Wallet will ship in Q3-Q4 2026. This is an estimate only and is subject to change. Actual shipping dates will be confirmed closer to product launch.

7.2 Shipping Regions

We intend to ship to most countries worldwide, subject to:

• Export control and sanctions compliance
• Local cryptocurrency regulations
• Shipping carrier availability
• Customs and import restrictions

We reserve the right to refuse shipment to any country, region, or address at our discretion. Final list of supported shipping regions will be announced before product launch.

7.3 Customs and Import Duties

You are responsible for all customs duties, import taxes, fees, and charges imposed by your country. These charges are not included in the product price or shipping cost and are your sole responsibility. We have no control over these charges and cannot predict their amount.

7.4 Shipping Costs

Shipping costs will be announced when the product becomes available for purchase. Shipping costs may vary based on destination, shipping method, and order size.

7.5 Risk of Loss

Risk of loss and title for products pass to you upon delivery to the shipping carrier. We are not responsible for lost, stolen, or damaged packages once they have been delivered to the carrier.

7.6 Address Accuracy

You are responsible for providing accurate shipping address information. We are not responsible for orders shipped to incorrect addresses provided by you, and we may not be able to reroute or resend products at our expense.

8. Prohibited Uses

You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to use the Site:

• For unlawful purposes: In any way that violates any applicable federal, state, local, or international law or regulation
• For harmful activities: To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site, or which may harm Vaultix or users of the Site
• To impersonate: To impersonate or attempt to impersonate Vaultix, a Vaultix employee, another user, or any other person or entity
• For unauthorized access: To use any robot, spider, or other automatic device, process, or means to access the Site for any purpose, including monitoring or copying any of the material on the Site
• For interference: To introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful
• To attack the Site: To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site
• For competitive purposes: To use the Site to gather information to develop competing products or services
• To violate regulations: To use the Site in any manner that could disable, overburden, damage, or impair the Site or interfere with any other party's use of the Site
• For data mining: To use any data mining, robots, or similar data gathering or extraction methods on the Site
• To circumvent security: To attempt to circumvent any content filtering techniques we employ, or attempt to access areas or features of the Site that you are not authorized to access

8.1 Account Suspension

We reserve the right to suspend or terminate your access to the Site if we determine, in our sole discretion, that you have violated these prohibited use provisions or any other provision of these Terms.

9. Dispute Resolution and Governing Law

9.1 Governing Law

These Terms and any dispute or claim arising out of or related to them, their subject matter, or their formation (in each case, including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without giving effect to any choice or conflict of law provision or rule.

9.2 Jurisdiction and Venue

Any legal suit, action, or proceeding arising out of or related to these Terms or the Site shall be instituted exclusively in the federal courts of the United States or the courts of the State of Delaware. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

9.3 Informal Dispute Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at legal@vaultix.cxs-ar.com. We will try to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 30 days of submission, you or Vaultix may bring a formal proceeding.

9.4 Arbitration Agreement

You and Vaultix agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or the use of the Site (collectively, "Disputes") will be settled by binding arbitration, except that each party retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

9.5 Class Action Waiver

YOU AND VAULTIX AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and Vaultix agree, no arbitrator or judge may consolidate more than one person's claims or otherwise preside over any form of a representative or class proceeding.

9.6 Exceptions

Notwithstanding the above, disputes regarding intellectual property rights, privacy rights, or unauthorized access to the Site may be brought in a court of competent jurisdiction.

9.7 Changes to Arbitration Terms

If Vaultix makes any future change to this arbitration provision (other than a change to our notice address), you may reject the change by sending us written notice within 30 days of the change to legal@vaultix.cxs-ar.com. By rejecting any future change, you are agreeing that you will arbitrate any dispute between us in accordance with the language of this provision.

10. Modifications to These Terms

10.1 Right to Modify

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on the Site with a new "Last Updated" date
• Sending an email notification to pre-order registrants (if applicable)
• Displaying a prominent notice on the Site

10.2 Effective Date of Changes

Changes to these Terms will become effective:

• Immediately upon posting for new users who access the Site after the changes are posted
• 30 days after posting for existing users who accessed the Site before the changes were posted

10.3 Continued Use Constitutes Acceptance

Your continued use of the Site following the posting of revised Terms means that you accept and agree to the changes. If you do not agree to the revised Terms, you must stop using the Site.

10.4 Material Changes

Material changes may include, but are not limited to:

• Changes to dispute resolution provisions
• Changes to warranty disclaimers or liability limitations
• Changes to payment or shipping terms (when applicable)
• Changes to intellectual property rights

12. Additional Terms

12.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Vaultix regarding use of the Site and supersede all prior agreements and understandings, whether written or oral.

12.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be affected or impaired.

12.3 Waiver

No waiver by Vaultix of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.

12.4 Assignment

We may assign these Terms, in whole or in part, at any time with or without notice to you. You may not assign these Terms without our prior written consent.

12.5 Force Majeure

We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

12.6 Survival

All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity provisions, and limitations of liability.

12.7 Language

These Terms are drafted in English. If these Terms are translated into any other language, the English version shall control in the event of any conflict.
